The attorneys at Michael T. Chulak & Associates understand that paying hourly fees for legal services is difficult, even when a law firm charges highly competitive fees. Unfortunately, it is expensive to run a law firm and costs must be passed on to clients. While some matters may be handled by a law firm on a contingency basis, other legal matters may be such that it would be extremely difficult to find an attorney willing to handle a particular matter on a contingency basis.  In fact, in some cases the California State Bar will not permit an attorney to represent a client on a contingency basis.

In some instances the law firm of Michael T. Chulak & Associates will provide legal services in exchange for certain goods and / or services. Barter or trade arrangements must be made in writing, in advance of our commencing to provide legal services to you. In some cases we will accept barter for 100% of our legal services. In other cases the barter percentage may be less.

Our firm will consider accepting the following in exchange for legal services: Advertising, California Land, Arizona Land, Nevada Land or other Real Property, Trust Deeds, Antiques, Political or Historical Memorabilia, Classic Cars, LLC Interests, LP Interests, Stock in Small Corporations, Construction Remodeling Services, Use of office space in high quality buildings, Design and production services for major websites, High Quality Jewelry, or Restaurant Gift Certificates. Since our need for services will vary over time, please call to discuss the barter of your goods and / or services for legal services.

When goods or services are accepted in exchange for legal services, both parties exchange their services based upon the fair market value of the service provided. The IRS requires that the fair market value of goods and services traded must be included in the income of both parties.

 

Barter Examples

• A restaurant owner trades credit for a living trust and estate plan. Since his food cost is only 30% of the menu prices, the owner effectively receives a 70% discount on the legal services provided.
   
• The owner of a California desert land parcel enters into a three party trade agreement with his employer and the law offices of Michael T. Chulak & Associates. The employer needs legal services but has limited cash to pay for those services. The land owner, who needs cash, owns the desert property, a non-liquid asset, that if sold, would bring only a small down payment. The solution: The employer pays cash to the owner of the land who trades the land for legal services to be provided to the employer. The land owner gets more cash than he would otherwise receive, the employer pays less cash than it would otherwise pay for the legal services, and the law firm acquires land at an attractive price to add to its land banking portfolio. The lesson: If you own land (whether free and clear or encumbered with a deed of trust) and know someone who needs legal services, you should call us to discuss a possible barter transaction.
• The owner of a lot, located in the desert, exchanges it for family law services worth $5,500. The lot owner had previously tried to sell it for three years without success.
   
• The owner of a small local newspaper barters advertising for legal services required to deal with a construction dispute. Since the publisher's gross profit margin on advertising is 50%, the publisher saves 50% on legal fees.
   
• The owner of a desert land parcel worth $60,000 barters it for $20,000 worth of legal services plus a $40,000 note secured by a deed of trust.
   
• A furniture store owner exchanges inventory for bankruptcy representation. Since the store owner's markup is 50%, he effectively saves 50% on his legal services.
   
• A contractor, who is not working at full capacity, barters his services in exchange for probate representation.
   
• The owner of a fine jewelry store exchanges merchandise for legal representation in dealing with his landlord. Since actual cost is only 40% of retail, his legal fees are effectively discounted by 60%.
   
• An individual who inherits political memorabilia and antiques, barters some of them for trust administration legal services.
   
• The owner of a minority interest in a small corporation exchanges some of the stock for legal representation in dealing with the majority shareholder.
   
• The owner of a successful business who wants to franchise it, trades corporate stock for the legal services needed to franchise the business.
   
• The editor of a small local newspaper, who wants to start his own local newspaper, barters stock and advertising for legal services and help in raising the initial capital.
   
• The owner of office buildings in Los Angeles and Ventura exchanges empty office space for legal services.
   
• A professional website designer creates a law firm web site in exchange for business start-up legal advice.
   
• A closet design and installation contractor trades his services for legal services and cash payment.
   
• The owners of a co-op direct advertising mailing franchise, exchanges advertising for family law legal services. Since his cost is only 60% of retail, the effective cost of his legal services are reduced substantially.
